Smaart License Terms and Conditions

Smaart software products are licensed in one of two ways, either as a Perpetual License or as an Annual Subscription License.

Perpetual Licenses

A Perpetual License does not expire.  A Perpetual License is billed in-full for the cost of the license at the time of purchase, and remains valid indefinitely for the specific edition and version of the software you are licensed for.

A Perpetual License is refundable within 30 days of purchase as long as it has not been registered to Smaart License Management account or installed on a computer. Updates, including bug-fixes, are provided only for the most current major release version of Smaart software. Rational Acoustics will provide updates for Perpetual License holders, within the same edition and version of the software, at no additional charge.

If you own a perpetual license for an older, unsupported version of Smaart, you still have the right to use the license for as long as you want, but Rational Acoustics has no obligation to ensure compatibility with new operating systems and is not responsible for your inability to continue run the software due to changes in your operating system, hardware, network, or third-party software.

Perpetual Licenses of Smaart software come with a varying number of initial installs available, based on the edition of Smaart you purchase. Perpetual Licenses may be installed and operated on more than one computer, but only up to the number of valid license installations you have paid for and been authorized to use. If you wish to run the software on more computers than the number of installations available on your current Perpetual License, you must first purchase additional installations for your license, or purchase additional licenses.

Perpetual Licenses of Smaart can be upgraded to different editions of Smaart within the same version cycle (i.e. upgrading from Smaart RT v9 to Smaart Suite v9), or to subsequent versions of the same edition upon release (i.e. upgrading from Smaart Suite v9 to Smaart Suite v10).

Annual Subscription Licenses

An Annual Subscription License starts on the day payment is received and continues for a period of one year. Annual Subscription Licenses are billed in-full for the entire year at the beginning of the subscription period. Auto-renew is automatically selected as the default setting for the subscription and at the end of the subscription period you will automatically be billed for an additional one year subscription at then-current pricing. By checking the box demonstrating consent for automatic annual renewal of your subscription during the purchase process, you authorize us to store your payment method and to automatically charge your payment method each year until you cancel.

You can cancel your subscription from within your Smaart License Management account any time up to 24 hours prior to the end of the current subscription period and you will not be billed for future subscription periods. You will not receive a refund for any portion of the fees paid for the current subscription period, unless legally required.  See our See our Cancellation & Refund Policy for further details.

If you cancel your subscription, your Annual Subscription License will remain active, and you will be able to use Smaart, until the end of the current subscription period. Once the subscription period has ended, your Annual Subscription License will expire and Smaart will cease to function.  If you wish to continue using Smaart, you will need to purchase a new Subscription License.

If your subscription is active, but your payment method fails upon renewal, we will email you notification to update your payment information. You will have a 30-day grace period in which to update your payment information and renew your subscription, after which time your Annual Subscription License will expire and Smaart will cease to function. If you wish to continue using Smaart, you will need to purchase a new Subscription License.

As long as your Annual Subscription License remains active and the annual subscription fees have been paid, Rational Acoustics will provide Software updates, including bug-fixes, within the same version and edition of the Software at no additional charge.

Annual Subscription Licenses are 1-install only and additional installs cannot be purchased for, or added to, Subscription Licenses. If you wish to run Smaart on more than one computer, you will need to purchase a separate Annual Subscription License for each computer.

Annual Subscription Licenses cannot be upgraded/downgraded to different editions of Smaart within the current subscription period.  If you wish to change to a different edition of Smaart, you can cancel your current subscription and purchase a new subscription for a different edition. However you will not receive a refund for the remaining subscription period of the original edition.

Annual Subscription Licenses require a periodic internet connection for license validation and renewal.  If the computer on which your software is running is not connected to the internet at least once per month, your software may cease to function.

Your use of Smaart Software products is governed by the terms and conditions outlined above, as well as by the Smaart End User License Agreement (EULA).
